Allena Pharmaceuticals Announces $28 Million Registered

NEWTON, Mass., July 13, 2021 (Globalrelease Wire) — Allena Pharmaceuticals, Inc. (NASDAQ: ALNA), a late-stage, biopharmaceutical company dedicated to developing and commercializing first-in-class, oral enzyme therapeutics to treat patients with rare and severe metabolic and kidney disorders, today announced that it has entered into definitive agreements with several healthcare-focused institutional and accredited investors for the purchase and sale of 21,357,744 shares of the Company’s common stock (or common stock equivalents) and warrants to purchase up to an aggregate of 10,678,872 shares of the Company’s common stock, at a purchase price of $1.311 per share of common stock (or common stock equivalent) and associated warrant, in a registered direct offering priced at-the-market under Nasdaq rules. The closing of the offering is expected to occur on or about July 16, 2021, subject to the satisfaction of customary closing conditions.

H.C. Wainwright & Co. is acting as the exclusive placement agent for the offering.

The warrants have an exercise price of $1.25 per share, are exercisable immediately and have a term of five years.

The gross proceeds to the Company from this offering are expected to be approximately $28 million, before deducting the placement agent’s fees and other offering expenses payable by the Company. The Company intends to use the net proceeds from this offering for working capital and general corporate purposes.
